227. The Commission noted that the above mentioned problems, among others, and the potential for the development of BOT projects, had led UNIDO to initiate the preparation of quot Guidelines for the Development, Negotiation and Contracting of BOT Projects quot .

228. Strong support was expressed in the Commission for undertaking work in the area of BOT projects.

At the beginning of 2005, the designs were further revised with the view to reducing the construction and operation costs, while increasing the function.

Enabling legislation to make the underlying legal framework attractive for BOT projects might therefore need to be enacted.

A suggestion was also made that possible future work could be considered in the area of procurement for BOT projects.

2. Organization and functioning

223. The Commission had before it a note on possible future work in the area of build operate transfer (BOT) projects (A CN.9 399).

The Commission also noted that the lack of expertise in putting together a BOT project, particularly within Governments, acted as a hindrance in the negotiating process.

At that session, the Commission had emphasized the relevance of BOT and had noted with appreciation the Secretariat apos s intention to submit a note to the Commission on possible future work in the area.

That element of non traditional distribution of risks between the various parties made the pre contractual stage of a BOT project usually fairly complex.

Other issues to be considered by the Commission were also important and forward looking, namely the assignment of claims, the legal aspects of insolvency and bankruptcy, legal issues in privatization, and the Build, Operate and Transfer (BOT) project financing concept.

Particular interest was expressed in the intention of the Secretariat, once the UNIDO Guidelines had been finalized, to study the desirability and feasibility of further work by the Commission on some of the problems raised with regard to BOT projects.

226. It was also reported that another aspect that sometimes acted as a barrier in establishing BOT projects was the lack of legal certainty in some States regarding the realization of particular aspects of a project.

Furthermore, international technology transfer trends are monitored and studied, with special emphasis on innovative forms, such as build operate transfer arrangements and strategic alliances, and developing countries will be supported in their beneficial application.
